Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Coach Amp website, applications, and APIs (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

The Service is operated by Coach Amp GmbH, Berlin, Germany (“Coach Amp”, “we”, “us”, or “our”).

We may amend these Terms from time to time. Any changes will be posted on this page and indicated by an updated revision date. Continued use of the Service after such changes constitutes acceptance of the revised Terms.

The Coach Amp Service is intended solely for use by business customers. By using the Service, you confirm that you are acting in the course of a commercial or self-employed professional activity.

1. Allowed Use

You may use the Service only in accordance with these Terms and all applicable laws and regulations.

You agree not to:

  • misuse the Service or use it for unlawful, harmful, or fraudulent activities;
  • attempt to gain unauthorized access to the Service or its systems;
  • interfere with or disrupt the integrity or performance of the Service;
  • reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying ideas, algorithms, or structure of the Service, except to the extent expressly permitted by applicable law.

The Service may be accessed via web interfaces, APIs, and mobile applications, subject to applicable usage limits and policies.

2. Subscriptions and Payments

The Service is offered on a subscription basis and billed monthly unless otherwise stated.

  • Subscription fees are payable in advance and are non-refundable, except as explicitly stated in these Terms.
  • Your subscription will activate upon receipt of payment and automatically renew each billing period.
  • You may cancel your subscription at any time via your account settings. Cancellation will take effect at the end of the current billing period.
  • You may upgrade or downgrade your subscription plan at any time. Changes may take effect immediately or at the next billing cycle, depending on the plan.
3. Availability of Service (Service Level Agreement)

Coach Amp will use commercially reasonable efforts to provide a monthly uptime of at least 99.9%.

“Monthly uptime percentage” is calculated by subtracting from 100% the percentage of minutes during a calendar month in which the Service is unavailable, excluding SLA Exclusions (see below).

4. Refunds for Service Unavailability

If Coach Amp fails to meet the stated uptime commitment, you may be eligible for a service credit as follows:

  • 1% of the total amount of your last monthly invoice per 10 minutes of unavailability, capped at 100% of that invoice amount.

To request a refund, you must submit a written claim including:

  • the dates and times of the claimed unavailability; and
  • relevant logs or evidence reasonably demonstrating the outage.

Claims must be submitted within 30 days of the incident.

5. SLA Exclusions

You are not eligible for a refund if the unavailability results from:

  • announced maintenance or scheduled downtime;
  • issues caused by incorrect, corrupt, or incompatible inputs provided by you;
  • factors outside of our reasonable control, including force majeure events, internet outages, or third-party infrastructure failures beyond Coach Amp’s responsibility.
6. Limitation of Liability

The Service is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law:

  • Coach Amp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, goodwill, or business interruption, even if foreseeable.
  • You acknowledge that you are responsible for maintaining backups of your data. Coach Amp is not responsible for any loss, corruption, or deletion of data transmitted through the Service.
  • Coach Amp’s total liability arising out of or related to the Service shall not exceed the amount paid by you for the Service in the three (3) months preceding the claim.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

7. Returns and Refunds

The Coach Amp Service is offered exclusively to business customers (Unternehmer im Sinne von § 14 BGB). Consumer protection laws, including statutory rights of withdrawal, do not apply.

8. No Right of Withdrawal

As a business customer, you acknowledge and agree that:

  • the Service constitutes a digital service provided immediately upon purchase;
  • Coach Amp begins performance of the contract immediately after payment; and
  • no statutory right of withdrawal applies.
9. Refund Policy

Except where expressly required by applicable law or explicitly stated otherwise in these Terms:

  • all subscription fees are non-refundable;
  • partially used billing periods are not refunded;
  • cancellations or downgrades take effect at the end of the current billing period.

Any compensation for service unavailability is governed exclusively by the Service Level Agreement (SLA) section of these Terms.

10. Paddle as Merchant of Record

Payments for the Coach Amp Service are processed by Paddle.com, acting as Merchant of Record.

Accordingly:

  • refund requests must be submitted via Paddle or through Coach Amp support;
  • refunds, where granted, will be processed by Paddle in accordance with its policies;
  • any approved refund will be issued to the original payment method used for payment.
11. Exceptions

Nothing in this section limits mandatory rights under applicable law where such rights cannot be contractually excluded, including cases of intentional misconduct or gross negligence.

12. Termination

You may terminate your account at any time by discontinuing use of the Service or canceling your subscription. Outstanding fees remain payable.

Coach Amp may suspend or terminate your access to the Service:

  • if you breach these Terms;
  • if payment is overdue;
  • if required by law or regulatory authority.

We reserve the right to terminate accounts for legitimate commercial reasons with 30 days’ prior notice.

Coach Amp may modify, suspend, or discontinue parts of the Service or the Service as a whole. If the Service is discontinued entirely, we will provide at least 30 days’ notice.

13. Privacy

Your privacy is important to us. Use of the Service is subject to our Privacy Policy, which forms an integral part of these Terms.

14. Intellectual Property and Content

All intellectual property rights in the Service belong to Coach Amp or its licensors.

You remain solely responsible for the content and data you submit to the Service. Coach Amp does not actively monitor customer content and assumes no responsibility for it.

You agree not to use the Service to infringe upon the intellectual property or other rights of third parties and to comply with all applicable copyright and data protection laws.

15. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law principles. The place of jurisdiction, where legally permissible, shall be Berlin, Germany.
